Section 1Acceptance of terms
By signing in to or otherwise accessing the LOSA Employee Portal (the “Portal”) at portal.abaudlegal.com, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Portal.
The Portal is operated by The Law Office of Sharon Abaud (“LOSA,” “we,” “us,” or “our”) for the use of authorized employees and contractors only.
Section 2Authorized use & access
- The Portal is restricted to individuals with a valid
@abaudlegal.comGoogle Workspace account assigned by LOSA. - Access is granted on a role and need-to-know basis. Some modules require additional permissions (e.g., Dashboard, Marketing Analytics, Interview Scheduling).
- You may not share your credentials, your session, or your access with any other person — internal or external.
- LOSA may revoke or modify your access at any time, with or without notice.
Section 3Acceptable use
You agree not to:
- Access modules, data, or files outside the scope of your assigned role
- Attempt to bypass authentication, role permissions, or other security controls
- Copy, export, transmit, or otherwise disclose Portal contents to anyone outside LOSA without written authorization
- Use the Portal for any unlawful purpose or in violation of LOSA policies, professional rules, or applicable bar conduct rules
- Upload malware, run automated scrapers, or otherwise disrupt Portal operation
- Reverse engineer, decompile, or attempt to derive source code or proprietary logic from the Portal
Section 4Confidentiality
The Portal contains confidential business information, including but not limited to:
- Client matter details and case-related communications protected by attorney-client privilege and work-product doctrine
- Standard operating procedures, training materials, and internal documentation
- Personnel and team information
- Operational metrics and analytics
You agree to safeguard all such information consistent with LOSA's policies, professional duties of confidentiality, and applicable law. You must report any actual or suspected unauthorized access, disclosure, loss, or theft of Portal data to IT immediately.
Privilege reminder. The Portal may surface information subject to attorney-client privilege. Treat it accordingly. Discussion of client matters outside authorized channels — including over personal email, personal devices, or with non-attorneys — may waive privilege and harm clients.
Section 5Intellectual property
All software, design, content, documentation, and materials within the Portal are the property of LOSA or its licensors and are protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any ownership interest in the Portal or its contents.
You retain ownership of work product you create in the course of your role consistent with your employment or contractor agreement and applicable law; nothing in these Terms modifies those agreements.
Section 6Account termination
- Your Portal access will be revoked promptly upon separation from LOSA, role change requiring access removal, or violation of these Terms.
- Upon termination, you must return or delete any Portal-derived materials in your possession.
- Sections that by their nature should survive termination (Confidentiality, Intellectual Property, Disclaimer, Limitation of Liability, Governing Law) will survive.
Section 7Disclaimer
The Portal is provided “as is” and “as available” without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted operation.
LOSA does not warrant that the Portal will be error-free or that defects will be corrected. Information presented in the Portal (including weather, scheduling, calendar, and analytics widgets) is for convenience and may be inaccurate or out of date; verify critical information through authoritative sources.
Section 8Limitation of liability
To the fullest extent permitted by applicable law, in no event shall LOSA be liable to you for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Portal, even if LOSA has been advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
Section 9Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of or relating to the Portal or these Terms shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the exclusive jurisdiction and venue of such courts.
Section 10Changes to these terms
LOSA may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Portal after the revised Terms become effective constitutes acceptance of the changes. Material changes will be communicated to Portal users.
